Jump Operations, LLC seeks Legal Counsel at its facility located at 15 E 26th Street, 3rd Floor, New York, NY 10010. Innovate and counsel business partners on issues involving the latest financial, communications, and blockchain technologies. Counsel business units on contracts and contract strategy, manage contract lifecycles, and work with Jump’s global legal team to improve contract review processes. Build strong relationships with business teams and provide guidance on a wide range of legal issues. Demonstrate strong attention to detail, be intellectually curious and resourceful, know when to escalate issues, and possess excellent interpersonal skills to build relationships across offices and departments. Communicate clearly, both in writing and orally, to global team members, department heads, senior management, and external parties. Effectively review and negotiate a wide range of commercial contracts, including technology contracts, IT/software licensing agreements, leases, trading-related agreements, and other vendor agreements. Counsel business units such as our technology and business development teams on contract strategy, including explaining contractual risks and obligations while suggesting strategies and alternatives. Proactively manage contract lifecycles, including collaborating with a wide range of business units on contract renewals, renegotiations, and terminations. Improve contract review processes to allow for increased consistency, accuracy, and efficiency throughout the legal department for contract review. Maintain open and consistent communication with business units to provide guidance on legal issues as they arise. Follow new developments in law and industry in order to provide updates and training for various business units. Assist on internal legal department projects and initiatives. REQS: This position requires a Juris Doctorate/Doctor of Law degree or foreign equivalent in Law and 3 years of work experience at a law firm drafting, negotiating, and reviewing commercial contracts as an Associate Attorney, or related occupation. Additionally, the applicant must have employment experience with: (1) Drafting and negotiating, and reviewing complex commercial agreements, transaction documents, and regulatory reporting/disclosures; analyzing and negotiating core provisions, including representations and warranties, covenants and obligations, indemnities, limitations of liability, confidentiality, termination, and remedies across various agreement types and financial instruments; (2) End-to-end contract and transaction lifecycle management, including coordinating with internal teams and external counterparties, handling amendments and recurring transactions, and improving review processes for consistency, accuracy, and efficiency; (3) Explaining complex legal issues to non-lawyers to provide insight on risk, and identify solutions or areas for negotiation; (4) Project management of 5+ complex transactions, coordinating with other lawyers, financial institutions, and other external parties in a fast-paced environment while exercising commercial and legal judgment; and (5) Preparing and advising on SEC filings and transactions under the Securities Exchange Act of 1934, the Securities Act of 1933, and other securities regulations while conducting legal research using tools, including Westlaw and EDGAR.
