The Company

Our client is an established financial services group with operations across wealth management, asset management and related financial services. Following the establishment of its Singapore asset management business, the firm is looking to strengthen its local legal and compliance capability. This is an opportunity to join a growing platform and take broad responsibility across fund structuring, regulatory compliance and ongoing legal matters supporting its Singapore fund management activities.

The Role

Reporting into senior management and working closely with investment, operations and other internal stakeholders, you will:

• Provide legal and compliance support across the Singapore fund management business.
• Support the establishment and ongoing operation of VCCs, sub-funds, feeder funds, SPVs and other investment structures.
• Manage fund formation, investor onboarding and ongoing legal and regulatory requirements.
• Review and negotiate fund documentation, including PPMs, subscription documents, IMAs, advisory agreements, side letters and service agreements.
• Support MAS licensing, regulatory filings, enquiries, inspections and ongoing reporting requirements.
• Coordinate Section 13O and/or 13U fund tax incentive applications with external tax advisers.
• Oversee AML/CFT, KYC, investor suitability and other relevant compliance requirements.
• Develop and maintain internal compliance policies, procedures, controls, templates and checklists.
• Advise investment, operations, finance and client-facing teams on legal and regulatory matters.
• Coordinate external Singapore counsel, fund administrators, auditors, tax advisers and corporate secretarial providers.
• Monitor Singapore regulatory developments and assess their impact on the business.
• Identify and escalate legal, regulatory and operational risks, providing practical and commercially appropriate solutions.
• Support cross-border fund matters involving Singapore, Hong Kong, Cayman Islands, BVI and other relevant jurisdictions.
• Provide regular legal, regulatory and project updates to senior management.

Your Profile

To succeed in this role, you should have:

• A degree in Law or a related relevant discipline.
• At least 5 years' relevant legal and/or compliance experience within fund management, asset management, private funds or financial services.
• Practical knowledge of Singapore fund management regulations and MAS regulatory requirements.
• Hands-on experience with Singapore VCC establishment and/or ongoing fund operations.
• Experience supporting MAS communications, licensing or regulatory matters.
• Exposure to Section 13O and/or 13U tax incentive applications would be highly advantageous.
• Strong knowledge of fund documentation, AML/KYC, investor onboarding and regulatory compliance.
• Experience gained within a fund manager, asset manager, family office, financial institution or relevant law firm.
• Strong drafting, negotiation, stakeholder management and project coordination skills.
• Fluency in English and Mandarin to work effectively with relevant regional stakeholders; a recognised legal qualification would be advantageous.
