About Our Client

Our client is a Chinese Asset Management firm, they are seeking a Legal Manager to join our legal and compliance team as Legal Manager. The successful candidate will provide legal support on SFC regulatory matters, fund formation and structuring, and investment transactions, while managing communications with external counsel in Hong Kong and Mainland China.

Job Description

• Advise on compliance with Hong Kong SFO, SFC codes, guidelines, and regulatory expectations.
• Support ongoing SFC licensing matters, including regulatory filings, notifications, and responses to SFC inquiries.
• Monitor regulatory developments in Hong Kong and assess business impact.
• Assist in establishing and maintaining onshore and offshore fund vehicles
• Coordinate with external counsel on structuring, fund registration, and compliance matters.
• Provide legal support for deal execution, including due diligence, transaction documentation, and compliance checks.
• Draft and review investment agreements, shareholder agreements, SPAs, and related documents.
• Ensure investment activities align with regulatory and internal compliance requirements.
• Review and negotiate commercial contracts and internal legal documents.
• Advise internal stakeholders on legal risks and mitigation strategies.
• Manage and liaise with external legal advisors in HK for complex legal and regulatory matters.

The Successful Applicant

• With 3+ years of relevant legal experience in a fund house, asset manager.
• Strong knowledge of SFC regulatory regime, funds regulations, and investment-related legal issues.
• Experience in fund formation, cross-border transactions, and PRC/HK regulatory matters.
• Excellent drafting and negotiation skills in both Chinese and English.
• Ability to work independently, handle multiple matters, and communicate with senior management.
